These Terms and Conditions (“Agreement”) govern your access and use of the Mendocino Land Management LLC (“Mendocino Land Management,” “we,” “us,” or “our”) website and services (collectively, the “Site” or “Services”). “You” or “your” refers to the user or entity using the Services.
Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the United States of America and the State of California, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Mendocino County, California for any legal matter arising from or related to the use of the Site or Services.
Arbitration
Any dispute, claim, or controversy arising from or relating to this Agreement, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration will be conducted in California, in English, before a single arbitrator. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.
Eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding contracts under applicable U.S. laws to use our Site or Services.
Compliance with U.S. Law
You agree not to use the Site or Services for any purpose that violates U.S. federal, state, or local laws or regulations. This includes, but is not limited to, restrictions related to export control laws and prohibited or restricted content, products, or services.
Privacy
All user data will be collected, used, and retained in accordance with our U.S.-based [Privacy Policy], which complies with applicable privacy laws including the California Consumer Privacy Act (CCPA), if applicable.
Offensive Domain Policy
Our policy against offensive domain names is guided by U.S. legal principles on hate speech, obscenity, and child protection. We reserve the right to refuse or terminate services related to domain names that we deem, in our sole discretion, to be harmful, offensive, or unlawful under U.S. law.
Intellectual Property
All content on the Site is protected by United States intellectual property laws, including but not limited to copyright, trademark, and trade secret laws. Any unauthorized use of our content may result in legal action under applicable U.S. statutes.
Notice
Notices will be effective upon (i) posting to the Site; (ii) transmission by email; or (iii) personal delivery to the physical or email address listed in your account. You consent to electronic communication and service of process in accordance with U.S. law.
Modifications
We reserve the right to modify this Agreement at any time. Changes become effective immediately upon posting. Your continued use of the Site or Services constitutes acceptance of any modifications.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED UNDER U.S. LAW, MENDOCINO LAND MANAGEMENT DISCLAIMS ALL WARRANTIES AND SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE SIX (6) MONTHS PRIOR TO THE CLAIM OR $100, WHICHEVER IS GREATER.
Indemnification
You agree to indemnify and hold harmless Mendocino Land Management LLC, its affiliates, and personnel against any claim, loss, or liability arising out of your use of the Site or Services or your violation of this Agreement, to the fullest extent permitted under U.S. law.
General Provisions
The failure of either party to enforce any right or provision shall not constitute a waiver of such right or provision.
If any provision is held unenforceable, the remainder shall remain in full force and effect.
This Agreement constitutes the entire understanding between the parties regarding the subject matter.
